Digital Product License Agreement
01License Grant
Subject to the terms and conditions of this Agreement, Licensor hereby grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access, download, and use the purchased digital products (“Products”) solely for Licensee’s internal organizational purposes. This license does not include any right to use the Products for resale, redistribution, or any commercial purpose outside of Licensee’s own internal compliance activities.
02Free Template Updates
When you purchase a template from HIPAA Essentials Library, you receive a license to use that template as delivered. As a courtesy, we make future revisions of purchased templates available to you at no additional charge for a limited period. Free update access for any template ends on the earlier of: (a) five (5) years from the date you purchased that template; or (b) the date HIPAA Essentials Library ceases operations or dissolves.
Updates are a discretionary benefit, not a guaranteed component of your purchase. We do not warrant that any template will be revised in response to any particular regulatory change, or on any schedule. We reserve the right to modify or discontinue the free update program at any time with reasonable notice. This policy applies to purchases made on or after September 1, 2026.
03Ownership and Intellectual Property
All Products, including but not limited to templates, toolkits, checklists, policies, procedures, guides, and other materials, constitute the sole and exclusive intellectual property of Licensor and are protected by applicable copyright, trademark, and intellectual property laws. Nothing in this Agreement shall be construed as a transfer or assignment of any intellectual property rights to Licensee. Licensee acknowledges that it acquires no ownership interest in the Products under this Agreement.
04Restrictions on Use
Licensee shall not, without prior written consent of Licensor:
- Reproduce, copy, or duplicate the Products for distribution to individuals or entities outside Licensee’s organization;
- Resell, sublicense, transfer, assign, or otherwise dispose of the Products or any rights therein to any third party;
- Modify or create derivative works from the Products and distribute such works commercially;
- Use the Products to develop or offer competing products or services;
- Remove, alter, or obscure any copyright notice, trademark, or proprietary legend contained in the Products; or
- Share login credentials, download links, or access to the Products with any person outside Licensee’s organization.
Licensee may adapt the Products for internal use and may share adapted documents (such as completed policies or procedures) with workforce members and business associates as appropriate to Licensee’s compliance activities.
05No Legal Advice
The Products are provided for general informational and educational purposes only. They do not constitute legal advice, compliance determinations, or regulatory guidance, and no attorney-client relationship is formed by virtue of this Agreement or Licensee’s use of the Products. Licensor strongly recommends that Licensee consult with qualified legal counsel or a certified compliance professional prior to implementing any policy, procedure, or practice based on the Products.
06Disclaimer of Warranties
Templates Provided As-Is — Not Legal Advice. All templates are provided on an “as is” basis as informational tools only. Nothing on this site or in any template constitutes legal advice. You are solely responsible for determining whether any template meets your organization’s specific compliance obligations and for consulting qualified legal counsel before relying on any template for compliance purposes. HIPAA Essentials Library makes no warranty, express or implied, that any template is or remains current with applicable federal or state law, including the Health Insurance Portability and Accountability Act and its implementing regulations.
07Limitation of Liability
08Term and Termination
This Agreement shall remain in effect for so long as Licensee continues to use the Products, unless earlier terminated. Licensor may terminate this Agreement immediately upon written notice if Licensee materially breaches any provision of this Agreement. Upon termination, Licensee shall immediately cease all use of the Products and destroy all copies in its possession or control.
09Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of laws principles. Any dispute arising under or in connection with this Agreement shall first be subject to good-faith negotiation between the parties. If unresolved, such dispute shall be submitted to binding arbitration in Indiana in accordance with the rules of the American Arbitration Association, and judgment on the award may be entered in any court of competent jurisdiction.
10Entire Agreement
This Agreement, together with any purchase order or transaction confirmation, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, warranties, and understandings. This Agreement may not be modified except by a written instrument signed by an authorized representative of Licensor.
